TERMS OF SERVICE AGREEMENT

HAAKWEAR LLC / The Beanie Factory

These Terms of Service (“Terms”) govern your access to and use of The Beanie Factory website, products, and services. The Beanie Factory (“TBF”) is owned and operated by HAAKWEAR LLC (“HAAKWEAR”), located at 5319 Broadview Rd, Parma, Ohio. References to “The Beanie Factory,” “we,” “us,” or “our” include HAAKWEAR LLC. By visiting our website or placing an order, you agree to these Terms. If you do not agree, you may not use our site or services.

We may update these Terms at any time by posting revisions on this page. Continued use of the site constitutes acceptance of any changes. Our online store is hosted on Shopify Inc., which provides the e-commerce platform that enables us to offer our U.S.-made products and custom headwear services.

1. ELIGIBILITY

You must be the age of majority in your state or province to use our services. If you place an order on behalf of a business, organization, or institution, you confirm that you have full authority to bind that entity to these Terms.

2. PRODUCTS & SERVICES

• All products are made to order in our Ohio facility.
• We are a B2B manufacturer, and pricing varies based on quantity, customization, and project requirements.
• Custom orders begin production only after written approval of mockups or design proofs. Written approval includes email confirmation or any documented digital approval.
• Mockup Disclaimer: Digital mockups, colors, textures, and visual previews may appear differently across screens, devices, and display types. We make every reasonable effort to ensure accuracy, but slight variations may occur in the final product.
• We offer free design assistance, including layout help, color suggestions, and mockup preparation.
• We reserve the right to limit orders by region, quantity, or customer type to protect production capacity and product integrity.

3. PRICING & PAYMENT

• We do not list pricing publicly because we are a B2B manufacturer and pricing depends on order quantity, customization, and project scope.
• Our pricing is transparent, consistent, and free of hidden fees.
• Quotes provided by our team reflect the full cost of materials, production, and customization unless taxes or shipping apply.
• We do not change pricing after an order is placed and approved.
• Payment is due in full at the time of order unless otherwise agreed in writing.
• Buyers are responsible for any applicable taxes, duties, or government-imposed fees.

4. SHIPPING & DELIVERY

• Delivery timelines are estimates and not guaranteed unless explicitly stated in writing.
• Risk of loss transfers to the buyer once the order is handed to the carrier.
• We are not responsible for delays caused by carriers, customs, weather, or events outside our control.
• Large or custom orders may require additional production time; any extended timelines will be communicated clearly.

5. RETURNS & REFUNDS

Because our products are custom-made, all sales are final. Exceptions apply only in the following cases:

• Manufacturing defects
• Incorrect items or customization errors caused by us

To qualify for review:

• Claims must be submitted within 7 business days of delivery.
• Items must be unused and in original packaging.
• We may request photos or physical samples for verification.

Approved resolutions may include replacement, repair, or refund at our discretion.

6. INTELLECTUAL PROPERTY

• All designs, photos, text, branding, product concepts, and website content are the exclusive property of HAAKWEAR LLC / The Beanie Factory unless otherwise stated.
• You may not copy, reproduce, distribute, or use our intellectual property without written permission.
• Custom artwork you provide remains your property; however, you grant us a non-exclusive license to use it for production, quality control, and marketing unless you request otherwise in writing.
• You represent that any artwork or content you provide does not infringe on the rights of others.

7. USER CONDUCT

You agree not to:

• Use our website or services for unlawful purposes.
• Upload or transmit viruses, malicious code, or harmful content.
• Misrepresent your identity, authorization, or order details.
• Attempt to interfere with our systems, operations, or security.
• Infringe on our intellectual property or that of others.

We reserve the right to refuse service to anyone who violates these Terms.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, punitive, or consequential damages, including lost profits, arising from the use of our products or services.
• Where liability cannot be excluded, our total liability is limited to the amount paid for the specific order in question.
• We do not guarantee that our website will be uninterrupted, error-free, or free from security vulnerabilities.

This limitation applies regardless of the legal theory asserted.

9. INDEMNIFICATION

You agree to indemnify and hold harmless The Beanie Factory, HAAKWEAR LLC, our employees, partners, and affiliates from any claims, losses, damages, or expenses arising from:

• Your breach of these Terms.
• Your misuse of our products.
• Your violation of any law or third-party rights.

This obligation survives termination of these Terms.

10. GOVERNING LAW

These Terms are governed by the laws of the State of Ohio. Any disputes will be resolved exclusively in the state or federal courts located in Cuyahoga County, Ohio.

11. ENTIRE AGREEMENT

These Terms, along with any order confirmations, invoices, and posted policies, constitute the complete agreement between you and The Beanie Factory / HAAKWEAR LLC. No verbal statements or prior communications override this agreement.
